1. Who we are

2. The service

[COUNSEL] Prime Motion is a subscription software application for Android tablets providing CNC machine control, computer-aided design, and computer-aided manufacturing functions ("the Service"). The subscription grants a per-seat, non-transferable license to use the Service while the subscription is active.

3. Accounts

[COUNSEL] You need an account to subscribe. You are responsible for the accuracy of account information and for safeguarding credentials. One subscription covers one seat (one signed-in user); describe multi-seat purchase terms here.

4. Orders, billing, and merchant of record

[COUNSEL] All purchases are processed by Paddle.com, our merchant of record. Paddle handles payment, sales tax/VAT, invoices, and billing support. By purchasing you also agree to Paddle's checkout terms. Subscription fees, billing cycles ($249/year or $29/month, per seat), and renewal mechanics are described on the pricing page and confirmed at checkout.

5. Trial

[COUNSEL] New subscriptions begin with a 30-day trial. A payment method is required; you are charged $0 at signup, and the plan price on day 30 unless you cancel first. If you cancel during the trial you are not charged and retain access for the remainder of the trial period.

6. Renewal and cancellation

[COUNSEL] Subscriptions renew automatically at the end of each billing period until canceled. Cancellation takes effect at the end of the current paid period; access continues until then. Describe the cancellation mechanism (account page / Paddle customer portal).

7. Refunds

[COUNSEL] Refunds are governed by the Refund Policy, incorporated by reference.

8. Acceptable use

[COUNSEL] No reverse engineering, resale, sublicensing, or circumvention of license enforcement; no unlawful use. Standard clauses here.

9. Safety disclaimer — machine control

[COUNSEL — CRITICAL SECTION] The Service sends motion commands to physical machinery. CNC machines can cause property damage, injury, or death. You are solely responsible for machine setup, workholding, tooling, guarding, emergency stops, supervision, and verifying every toolpath before and while it runs. The Service is a tool, not a substitute for a trained operator. Counsel to draft the strongest permissible warranty disclaimer and liability limitation for machine-control software in the governing jurisdiction.

10. Intellectual property

[COUNSEL] We retain all rights to the Service. You retain all rights to designs and files you create with it.

11. Updates and changes to the service

[COUNSEL] We may update the Service and these terms; material changes will be notified. Describe notice mechanism and continued-use acceptance.

12. Termination
